Aline End User License Agreement

1. General

This License applies to the Software and related documentation owned by Configura Sverige AB (“CSAB”), which is made available subject to the terms of this License Agreement (the “Licensed Software”).

2. Permitted Uses; Conditions & Restrictions

Subject to your compliance with the terms and conditions of this License Agreement, CSAB hereby grants you, effective on the date you accept this License Agreement and for the duration of its Term, a non-exclusive, personal, worldwide, non-transferable, non-assignable limited license to access and use the Licensed Software and to do the following:

2.1 Usage & Account Credentials

• You may access and use the Licensed Software through a web browser or other approved method.
• You must maintain a valid user account with accurate, current information (e.g., an email address) and a secure password.
• You agree that your account credentials (username, password, etc.) must remain confidential and may not be shared. No other person or entity (other than yourself) shall be permitted to use the Licensed Software under your credentials.
  

2.2 Automatic Updates

• Because Aline is a web-based service, CSAB may update or upgrade the Licensed Software at any time without requiring separate downloads or installation by you. These updates may occur automatically.

2.3 Privacy Policy

• You agree and accept all terms and conditions contained in the Configura Sverige AB Privacy Notice posted at Configura Privacy Notice (“Privacy Policy”), which may be amended at any time, at CSAB’s sole discretion.
• The revised document’s “Last Updated” date will indicate the latest version.
• You agree to routinely review the Privacy Policy, and your continued use of the Software constitutes acceptance of it and any amendments.

2.4 Restrictions

The Licensed Software is confidential and copyrighted. You are expressly prohibited from:

• Decompiling, reverse engineering, disassembling, translating, or otherwise reducing the Licensed Software to a human-perceivable form.
• Assigning, sublicensing, encumbering, modifying, renting, loaning, leasing, distributing, reproducing, or creating derivative works based on the Licensed Software in whole or in part.
• Removing or tampering with any proprietary notices or marks in the Licensed Software.

2.5 Technological Measures

• CSAB may use technological measures to prevent unlicensed or illegal use of the Licensed Software. These measures may include license keys or account-based access controls that limit the use of the Software to authorized users.

2.6 Reservation of Rights

• All other license rights not specifically granted herein, whether by estoppel, implication, or otherwise, are reserved by CSAB.
• CSAB reserves the right, at its sole discretion, to revoke this limited license at any time and without notice.

3. License Fee and Payment

• You agree to pay any applicable fees for the Licensed Software (“License Fee”) pursuant to each subscription or plan, based on the current fee schedule set by CSAB and as amended from time to time.
• CSAB may invoice you electronically, using the email address you provided.
• You agree to maintain a valid email address and to pay all invoices within the specified time period.

4. Term

This License Agreement is effective for one (1) month from the date you accept it. It automatically renews for subsequent one-month terms unless otherwise terminated sooner in accordance with this License Agreement.

5. Customer Service

(a) CSAB can choose to make customer service available by email or telephone as listed at: Aline Support (or any designated Aline support page). (b) Additional support or professional services may be offered under a separate contract.

6. Protection and Security

You agree to take all reasonable steps to safeguard the Licensed Software and related documentation to ensure that no unauthorized person has access. You acknowledge the Licensed Software may contain trade secrets and other confidential information owned by CSAB.

7. Duty to Back Up Data

You are responsible for maintaining backup copies of all data or files you upload, create, or store through Aline (“Data”). CSAB may not provide tools to allow you to backup your Data. CSAB is not responsible for maintaining or restoring your Data. You understand that your Data is not persistent in Aline and can be removed at any time, without notice.

8. Responsibility

You assume all responsibility for adequate protection and backup of your Data and agree not to make any claim against CSAB for any lost Data, inaccurate output, or lost profits resulting from use of the Licensed Software. You agree to indemnify and hold CSAB harmless from any and all claims based on your use of the Licensed Software.

9. Export Control

By using the Licensed Software, you confirm compliance with all applicable local and international laws, including export and import regulations.

10. Taxes

You are responsible for all applicable taxes or governmental charges arising from your use of the Licensed Software.

11. Disclaimer of Warranty on Software

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT USE OF THE LICENSED SOFTWARE IS AT YOUR SOLE AND ENTIRE RISK. THE LICENSED SOFTWARE AND RELATED DOCUMENTATION ARE PROVIDED “AS IS,” WITHOUT WARRANTY OF ANY KIND, AND CSAB EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, QUIET ENJOYMENT, AND NON-INFRINGEMENT OF THIRD-PARTY RIGHTS. CSAB DOES NOT WARRANT THAT THE LICENSED SOFTWARE WILL MEET YOUR REQUIREMENTS OR BE ERROR-FREE. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY CSAB OR ITS AUTHORIZED REPRESENTATIVES SHALL CREATE A WARRANTY.

12. Limitation of Liability

IN NO EVENT SHALL CSAB, ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING DAMAGES FOR LOSS OF PROFITS, REVENUES, OR DATA) ARISING OUT OF OR RELATING TO THIS LICENSE AGREEMENT OR YOUR USE OF THE LICENSED SOFTWARE, WHETHER UNDER A THEORY OF CONTRACT, WARRANTY, TORT, OR OTHERWISE, EVEN IF CSAB HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Some jurisdictions do not allow the limitation of liability for incidental or consequential damages, so some of the above may not apply to you. In no event shall CSAB’s total liability exceed the license fees paid by you during the preceding one (1) month.

13. Trademarks

This License Agreement does not grant you any rights to use any trademarks, service marks, logos, or trade names belonging to CSAB (“CSAB Marks”). You agree not to use or reproduce CSAB Marks in any way without prior written permission.

14. Ownership

CSAB retains all rights, title, and interest in and to the Licensed Software and related documentation, including any updates.

15. Termination

This License and the rights granted hereunder will terminate:

• Automatically if you fail to comply with any term of this License Agreement and do not cure such breach within thirty (30) days of becoming aware of it.
• Automatically if you fail or refuse to cooperate with any reasonable CSAB investigation into suspected violation of this License Agreement.
• Immediately if required by law or by order of a government or regulatory body.

16. Effect of Termination

Upon termination, you must immediately stop using the Licensed Software and destroy any copies or derivatives in your possession or control. Provisions intended by their nature to survive termination (including Sections 8, 10, 11, 12, 14, 16, and 17) shall remain in effect. If the License Agreement terminates early for any reason, you remain liable for all License Fees due through the end of the then-current Term.

17. Miscellaneous

17.1 U.S. Government End Users

The Licensed Software is a “commercial item” as defined in FAR 2.101. This customary commercial license is provided in accordance with FAR 12.211 and 12.212.

17.2 Relationship of Parties

This License Agreement does not create an agency, partnership, joint venture, or other form of legal association.

17.3 Waiver; Construction

Failure by CSAB to enforce any provision will not be deemed a waiver.

17.4 Assignability

You may not assign or transfer any rights under this License Agreement. CSAB may assign or transfer its rights without restriction.

17.5 Severability

If any provision is found unenforceable, that provision will be enforced to the maximum extent permissible, and the rest remains in effect.

17.6 Governing Law

This License Agreement is governed by the laws of Sweden, without regard to conflict-of-law provisions. Any dispute shall be subject to the jurisdiction of the courts of Stockholm, Sweden.

17.7 Dispute Resolution

All disputes that cannot be amicably resolved will be settled by arbitration in Stockholm, Sweden, under the rules of the Arbitration Institute of the Stockholm Chamber of Commerce.

17.8 Attorneys’ Fees

If arbitration or litigation is necessary, the prevailing party is entitled to reasonable attorneys’ fees and costs.

17.9 Entire Agreement

This License Agreement constitutes the entire agreement between you and CSAB regarding the Licensed Software, superseding all prior understandings.

17.10 Right to Modify

CSAB reserves the right to modify these terms at any time without notice.

Acceptance

Please read these terms carefully. By selecting “I accept” or otherwise using the Aline Software, you indicate your acceptance of this License Agreement. If you do not agree, do not use the Software. Your acceptance is ongoing for the entire Term, including renewals.
